1. Acceptance of these Terms

These Terms & Conditions (“Terms”) govern your access to and use of homeoffer247.com (the “Site”), our text-messaging program, and our home-buying services (collectively, the “Services”), provided by Home Offer 24/7 (“Home Offer,” “Company,” “we,” “us,” or “our”) together with its affiliated companies, which may include DRC Capital, CRD Holdings, Dotnet Acquisitions, and other related entities (our “Affiliates”). By using the Site or Services, submitting your information, or communicating with us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Who we are

Home Offer 24/7 is a direct cash buyer of residential real estate (a real-estate investor). We and our Affiliates purchase homes directly from owners for cash, in as-is condition. The specific entity that contracts to purchase a given property is identified in that transaction’s purchase agreement.

3. We are not your agent or advisor

Home Offer 24/7 is not a licensed real estate brokerage or agent, and we do not represent you in the sale of your property. We are a principal buyer acting in our own interest. Nothing we provide is legal, tax, financial, accounting, or real-estate brokerage advice, and no fiduciary or agency relationship is created by your use of the Services. You are free to decline any offer, to seek other offers, or to list your property with an agent, at any time.

4. Offers are estimates and are non-binding until a written agreement

Any price, range, or offer we discuss or present is our own opinion of value based on the information available to us and is not an appraisal, a guarantee, or a commitment to purchase. No offer is binding on either party unless and until it is set out in a written purchase agreement signed by both you and the purchasing entity. We make no guarantee that we will offer any particular amount or that we will purchase your property. Offers may be subject to inspection, title review, and other due diligence as stated in the purchase agreement.

5. The purchase process; assignment and wholesaling

If you accept a written offer, the purchase proceeds under the terms of the signed purchase agreement. You acknowledge and agree that we may, at our sole discretion, either (a) close the purchase ourselves (through Home Offer 24/7 or one of our Affiliates) or (b) assign or transfer our rights under the purchase agreement to an Affiliate or to a third-party buyer (sometimes called “wholesaling”). Where assignment occurs, the assignee assumes our rights and obligations under the purchase agreement. Where a state or local law requires specific disclosures for assigned or wholesale transactions, those disclosures will be provided in the transaction documents, and these Terms do not waive any right those laws give you. We conduct our business in compliance with applicable fair-housing and consumer-protection laws and do not use deceptive or high-pressure tactics.

6. Your representations

By using the Services and by entering into any purchase agreement, you represent that you are at least 18 years old, that the information you provide is accurate, and that you are the owner of the property (or an authorized representative with legal authority to sell it) and the authorized user of any phone number you provide.

7. Electronic communications and E-SIGN consent

By using the Services, you consent to receive communications from us electronically (email, text, and notices posted on the Site), and you agree that electronic communications and signatures satisfy any legal requirement that such communications be in writing, consistent with the federal E-SIGN Act and applicable state law.

8. SMS / Text-Messaging Program Terms

8.1 Program. Home Offer 24/7 sends text messages related to your property inquiry and our Services, including property and offer discussions, appointment and transaction updates, customer care, and marketing/promotional messages such as follow-ups and offers.

8.2 Consent (TCPA). By providing your mobile number through a Site form or otherwise, and by checking the SMS consent box, you give your prior express written consent to receive recurring automated and conversational text messages (including marketing/promotional messages) from Home Offer 24/7 at the number provided, including messages sent using an automatic telephone dialing system or similar technology. Consent is not a condition of any purchase or of selling your home. You confirm you are 18 or older and the authorized user of the number.

8.3 Message frequency. Message frequency varies based on your interactions with us.

8.4 Message and data rates. Message and data rates may apply. Home Offer 24/7 is not responsible for charges from your wireless carrier.

8.5 Opt-out. Reply STOP at any time to stop receiving texts; you will receive one confirmation message and no further texts unless you opt in again. Opt-in and opt-out are handled through the same number from which you receive messages.

8.7 Carrier liability. Mobile carriers are not liable for delayed or undelivered messages.

9. Acceptable use and intellectual property

You agree to use the Site only for lawful purposes and not to interfere with its operation, attempt unauthorized access, or submit false information. All content on the Site — text, graphics, logos, and design — is owned by or licensed to Home Offer 24/7 and is protected by intellectual-property laws. You may not copy, reproduce, or use it without our permission.

10. Third-party links

The Site may contain links to third-party websites, which have their own terms and privacy practices. We are not responsible for the content or practices of third-party sites.

11. Disclaimers

The Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. 12. Limitation of liability

To the fullest extent permitted by law, Home Offer 24/7 and its Affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to your use of the Site or Services. To the fullest extent permitted by law, our total liability for any claim relating to the Site or the text-messaging program will not exceed US $100. Nothing in these Terms limits liability that cannot be limited under applicable law. This section does not limit the rights and remedies set out in a signed purchase agreement, which governs the property transaction itself.

13. Indemnification

You agree to indemnify and hold harmless Home Offer 24/7 and its Affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

14. Governing law

These Terms, and any dispute arising from the Site or the text-messaging program, are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. However, any matter concerning the purchase, sale, assignment, or transfer of a specific property is governed by the laws of the state in which that property is located, and venue for such matters lies in that state. Arbitration is governed by the Federal Arbitration Act (see Section 15).

15. Binding arbitration and class-action waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

15.1 Agreement to arbitrate. Except as stated below, you and Home Offer 24/7 agree that any dispute, claim, or controversy arising out of or relating to the Site, the text-messaging program, these Terms, or our communications with you (including claims under the Telephone Consumer Protection Act) will be resolved by binding individual arbitration, not in court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction. Arbitration is governed by the Federal Arbitration Act.

15.2 Class-action waiver. You and Home Offer 24/7 agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding.

15.3 30-day right to opt out. You may opt out of this arbitration agreement by sending written notice to info@homeoffer247.com or the mailing address below within 30 days of first accepting these Terms, stating your name and intent to opt out. If you opt out, Section 14 (Governing law) governs disputes in court.

15.4 Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief to protect intellectual property. Disputes concerning the purchase, sale, assignment, or transfer of a specific property are governed by the signed purchase agreement for that property and are not subject to this Section unless that agreement says otherwise.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new “Effective date.” Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect (severability). Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy and any signed purchase agreement, are the entire agreement between you and Home Offer 24/7 regarding the Site and Services.
